We reserve the right to modify, suspend, or discontinue any feature of the Platform at any time without liability.

3. Eligibility

To use the Platform, you must:

• Be at least 18 years of age

• Have authority to bind the business entity you represent

• Provide accurate and complete registration information

You are responsible for maintaining the confidentiality of your login credentials.

4. Account Responsibility

You agree that:

• You are responsible for all activity under your account.

• You will not share login credentials.

• You will notify us immediately of unauthorized access.

• You will provide accurate and up-to-date information.

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Subscription & Billing

Certain features require a paid subscription.

By subscribing, you agree to:

• Authorize recurring billing (if applicable)

• Maintain valid payment information

Failure to pay may result in suspension or termination of access.

Fees are non-refundable unless otherwise stated in writing.

By using the Platform, you grant DirectX TMS a limited license to:

Your data solely for the purpose of providing services.

We do not claim ownership of your operational data.

8. Confidentiality

DirectX TMS will use commercially reasonable efforts to protect confidential information.

However, no electronic system is completely secure. You acknowledge and accept inherent internet risks.

9. AI & Automated Features

If the Platform includes AI-generated recommendations:

• They are provided for informational purposes only.

• Users are responsible for final decisions.

• We do not guarantee accuracy of automated outputs.

You remain responsible for operational and financial decisions.

10. Third-Party Integrations

The Platform may integrate with third-party services.

We are not responsible for:

• Third-party outages

• API changes

• Data inaccuracies from third-party systems

Use of third-party services is subject to their respective terms.

11. Intellectual Property

All software, branding, logos, designs, and content related to DirectX TMS are the exclusive property of DirectX TMS.

You may not:

• Copy

• Modify

• Redistribute

• Create derivative works

Without prior written permission.

12. Limitation of Liability

To the fullest extent permitted by law:

DirectX TMS shall not be liable for:

• Indirect damages

• Lost profits

• Business interruption

• Data loss

• Operational losses

Our total liability shall not exceed the amount paid by you in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless DirectX TMS from claims arising out of:

• Your violation of these Terms

• Your violation of any law or third-party rights

14. Termination

We may suspend or terminate access if:

• You violate these Terms

• You fail to pay subscription fees
